AvaTok Terms of Service

Welcome to AvaTok ("Platform"). By accessing or using AvaTok, you agree to these Terms of Service ("Terms"). These Terms form a legally binding agreement between you ("User," "Creator," or "Customer") and AvaGlobal International, Inc. ("AvaGlobal," "we," "our," or "us").

If you do not agree to these Terms, you may not access or use the Platform.

1. ABOUT AVATOK

AvaTok is a creator-focused digital platform offering:

• AI persona interactions
• Creator-uploaded video content
• Paid livestreaming
• One-to-one and private group video sessions
• Marketplace listings

Creators may upload recorded videos for on-demand viewing, monetization, and distribution, subject to platform policies and verification requirements.

2. ELIGIBILITY

Users must be at least 18 years old and comply with all applicable laws and regulations.

3. ACCOUNT REGISTRATION

Users must:

• Provide accurate and complete information
• Maintain secure login credentials
• Use the Platform lawfully

You are responsible for all activity conducted under your account.

4. CREATOR VERIFICATION & IDENTITY REQUIREMENTS (KYC)

AvaTok may require creators to complete identity verification ("Know Your Customer" or "KYC") before:

• Uploading content
• Monetizing content
• Requesting payouts

Verification may include:

• Government-issued photo identification
• Face-liveness video recording
• Phone number verification via one-time password (OTP)
• Optional social media links for identity confirmation

Unverified users may face:

• Upload limits
• Feature restrictions
• Monetization limitations
• Payout restrictions

Verification submissions may be reviewed using automated systems and human review. AvaTok reserves the right to approve, reject, request resubmission, suspend, or terminate accounts based on verification results or suspected abuse. Failure or refusal to complete required verification may result in restricted access, suspended monetization privileges, denied payouts, or account termination.

5. AVATOK PRODUCTS

AvaTok products include:

• AI personas
• Livestreams
• Video sessions (1:1 and groups)
• Creator content (videos)
• Marketplace features

6. AI PERSONAS (24/7)

AvaTok provides an AI-driven platform where creators can develop and monetize AI Personas.

• Creators may train AI Personas using their own content.
• Creators are responsible for ensuring they have all necessary rights to training data.
• AI Personas are available for interaction based on the settings defined by the Creator.
• Users must interact with AI Personas respectfully and in compliance with the Acceptable Use Policy.
• AI Personas cannot provide legal, medical, financial, or other professional advice.

7. WALLET, PAYMENTS & CREDITS

• Users must purchase platform credits to access most paid features.
• Credits are stored in the user's digital wallet on the Platform.
• Credits have no cash value and are non-refundable and non-transferable.
• Prices for credits and services are subject to change.
• Payment processing is handled by third-party providers.

8. CREATOR EARNINGS & PAYOUTS

• Creators earn credits from user interactions with their content and AI Personas.
• AvaTok deducts a platform fee from creator earnings.
• Creators can request payouts once they meet the minimum threshold and complete verification.
• Payouts are processed via preferred payment methods (e.g., Wise, PayPal, Bank Transfer, Paytm).
• Creators are responsible for any taxes related to their earnings.

9. ADVERTISING & PROMOTIONAL CONTENT

AvaTok may offer advertising and promotional services, including:

• Display ads on creator profiles and content
• Sponsored livestreams and AI persona interactions
• Promoted marketplace listings

Advertising revenue is not guaranteed. Earnings may vary based on demand, geography, engagement, content type, and platform performance.

10. MARKETPLACE RULES

• Listings must be accurate, lawful, and properly categorized.
• Creators are responsible for fulfilling orders as described.
• Prohibited items (as defined in the Acceptable Use Policy) are strictly forbidden.
• AvaTok may remove listings or restrict sellers who violate platform policies.

11. CONTENT MODERATION, SAFETY & COMPLIANCE

AvaTok maintains a zero-tolerance policy for illegal, harmful, or prohibited content, including:

• Child Sexual Abuse Material (CSAM)
• Extreme violence or gore
• Hate speech or harassment
• Promotion of illegal activity

We use automated tools and human review to monitor content. Violations will result in immediate content removal, account termination, and potential reporting to law enforcement.

12. LIVESTREAM RULES

Creators during livestreams must:

• Follow the Acceptable Use Policy
• Avoid prohibited behavior or content
• Remain professional and respectful

Violations may result in immediate suspension or termination.

13. 1:1 & GROUP SESSION RULES

Participants in private sessions must not engage in:

• Pornographic or explicit behavior
• Harmful or illegal advice
• Harassment or abusive behavior
• Inappropriate conduct
• Unauthorized recording of sessions

Violations may result in account suspension or termination.

14. ACCEPTABLE USE POLICY

Users may not:

• Engage in illegal activity
• Harass or threaten others
• Promote hate speech or discrimination
• Exploit or harm minors
• Commit fraud
• Misuse AI systems
• Impersonate individuals
• Create deceptive AI-generated content involving real persons without proper rights and consent

Users are solely responsible for ensuring they have all necessary rights to use any voices, images, names, or likenesses.

15. INTELLECTUAL PROPERTY

Creators retain ownership of their content. By uploading content, creators grant AvaTok a non-exclusive, worldwide license to host, distribute, display, and promote the content on the Platform. AvaTok retains ownership of its technology, software, branding, and intellectual property.

16. PAYMENT PROCESSING

Payments are handled by third-party providers. AvaTok is not responsible for banking delays, processor errors, or payment service disruptions.

17. CANCELLATIONS & REFUNDS

• Credits are non-refundable.
• Livestream refunds may be issued only in cases of cancellation by the creator or verified technical failure.

18. DISCLAIMER OF WARRANTIES

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied. AvaTok does not guarantee uninterrupted, secure, or error-free operation.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law, AvaTok is not liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid by the user in the preceding 12 months.

20. TERMINATION

AvaTok may suspend or terminate any account, with or without notice, for violations of these Terms, suspected illegal activity, policy breaches, or any reason at its sole discretion.

21. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States.

22. CHANGES TO TERMS

AvaTok may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
