AvaTok Terms of Service

AvaTok is a subsidiary product of AvaGlobal Incorporated.

Welcome to AvaTok ("Platform"). By accessing or using AvaTok, you agree to these Terms of Service ("Terms"). These Terms form a legally binding agreement between you ("User," "Creator," or "Customer") and AvaGlobal Incorporated ("AvaGlobal," "we," "our," or "us").

If you do not agree to these Terms, you may not access or use the Platform.

1. ABOUT AVATOK

AvaTok is a creator-focused digital platform offering:

• AI persona interactions
• Creator-uploaded video content
• Paid livestreaming
• One-to-one and private group video sessions
• Marketplace listings

Creators may upload recorded videos for on-demand viewing, monetization, and distribution, subject to platform policies and verification requirements.

2. ELIGIBILITY

Users must be at least 18 years old and comply with all applicable laws and regulations.

3. ACCOUNT REGISTRATION

Users must:

• Provide accurate and complete information
• Maintain secure login credentials
• Use the Platform lawfully

You are responsible for all activity conducted under your account.

4. CREATOR VERIFICATION & IDENTITY REQUIREMENTS (KYC)

AvaTok may require creators to complete identity verification ("Know Your Customer" or "KYC") before:

• Uploading content
• Monetizing content
• Requesting payouts

Verification may include:

• Government-issued photo identification
• Face-liveness video recording
• Phone number verification via one-time password (OTP)
• Optional social media links for identity confirmation

Unverified users may face:

• Upload limits
• Feature restrictions
• Monetization limitations
• Payout restrictions

Verification submissions may be reviewed using automated systems and human review.

AvaTok reserves the right to approve, reject, request resubmission, suspend, or terminate accounts based on verification results or suspected abuse.

Failure or refusal to complete required verification may result in restricted access, suspended monetization privileges, denied payouts, or account termination.

5. AVATOK PRODUCTS

AvaTok products include:

• AI personas
• Livestreams
• 1:1 and group sessions
• Creator-uploaded or imported videos
• Marketplace features

6. AI PERSONAS (24/7)

• Creators may train AI Personas using their own content.
• Voice cloning requires explicit consent.
• AI-generated responses may contain inaccuracies.
• AI Personas cannot provide legal, medical, financial, or other professional advice.
• Users rely on AI interactions at their own risk.

7. WALLET, PAYMENTS & CREDITS

• Credits are non-refundable.
• Credits do not expire.
• Credits may be used across all available services on the Platform.

8. CREATOR EARNINGS & PAYOUTS

• Creators set their own prices.
• AvaTok deducts a platform fee.
• Payouts are processed through approved payment partners.

Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between AvaTok and creators. Creators operate as independent users and are solely responsible for their own taxes and legal obligations.

9. ADVERTISING & PROMOTIONAL CONTENT

AvaTok may offer advertising and promotional services, including:

• Pre-roll, mid-roll, and end-roll ads
• Display advertisements
• Sponsored placements
• Other promotional formats

AvaTok reserves sole discretion over ad availability, placement, format, and duration.

Advertising revenue is not guaranteed. Earnings may vary based on demand, geography, engagement, content type, and platform performance.

Advertisers are solely responsible for the content, accuracy, and legality of their advertisements. AvaTok reserves the right to review, reject, remove, or modify advertisements at its discretion and does not endorse advertiser claims.

Creators do not control advertisements unless explicitly authorized by AvaTok.

10. MARKETPLACE RULES

Creators must:

• Provide accurate listings
• Deliver services as described
• Comply with all applicable laws

Failure to deliver services may result in penalties or account restrictions.

11. CONTENT MODERATION, SAFETY & COMPLIANCE

AvaTok maintains a safe, lawful, and responsible platform.

All uploaded content may be analyzed using internal systems and trusted third-party technologies to detect illegal, prohibited, or harmful material. By uploading content, users consent to this review process.

AvaTok may:

• Restrict or block flagged content
• Make content inaccessible
• Place content under review without prior notice

AvaTok has zero tolerance for:

• Child sexual abuse material (CSAM)
• Sexual exploitation of minors
• Human trafficking content
• Any unlawful content

Suspected CSAM may be reported to appropriate authorities, including the National Center for Missing & Exploited Children (NCMEC), where applicable. Accounts associated with such content may be permanently terminated.

Where legally required, AvaTok may preserve data and cooperate with law enforcement.

Users may report content violations. AvaTok is not obligated to remove content in response to every report.

12. LIVESTREAM RULES

Creators must comply with all safety and content guidelines during livestreams.

Violations may result in immediate suspension or termination.

13. 1:1 & GROUP SESSION RULES

The following are prohibited:

• Harmful or illegal advice
• Harassment or abusive behavior
• Inappropriate conduct
• Unauthorized recording of sessions

Violations may result in account suspension or termination.

14. ACCEPTABLE USE POLICY

Users may not:

• Engage in illegal activity
• Harass or threaten others
• Promote hate speech or discrimination
• Exploit or harm minors
• Commit fraud
• Misuse AI systems
• Impersonate individuals
• Create deceptive AI-generated content involving real persons without proper rights and consent

Users are solely responsible for ensuring they have all necessary rights to use any voices, images, names, or likenesses.

15. INTELLECTUAL PROPERTY

Creators retain ownership of their content.

By uploading content, creators grant AvaTok a non-exclusive, worldwide license to host, distribute, display, and promote the content on the Platform.

AvaTok retains ownership of its technology, software, branding, and intellectual property.

16. PAYMENT PROCESSING

Payments are handled by third-party providers.

AvaTok is not responsible for:

• Banking delays
• Processor errors
• Payment service disruptions

17. CANCELLATIONS & REFUNDS

• Credits are non-refundable.
• Livestream refunds may be issued only in cases of cancellation by the creator or verified technical failure.

18. DISCLAIMER OF WARRANTIES

The Platform is provided "as is" and "as available," without warranties of any kind, express or implied.

AvaTok does not guarantee uninterrupted, secure, or error-free operation.

19. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

AvaTok is not liable for indirect, incidental, or consequential damages.

Total liability is limited to the amount paid by the user in the preceding 12 months.

20. TERMINATION

AvaTok may suspend or terminate any account, with or without notice, for:

• Violations of these Terms
• Suspected illegal activity
• Policy breaches
• Any reason at its sole discretion

AvaTok reserves the right to comply with applicable laws in all jurisdictions where it operates.

21. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States.

22. CHANGES TO TERMS

AvaTok may update these Terms at any time.

Continued use of the Platform constitutes acceptance of the updated Terms.
